Terms of Service

These Terms of Service (the “Terms”) govern the use of the Coders PMS platform, APIs, and any related implementation or advisory services (collectively, the “Services”). By accessing or using the Services you agree to be bound by these Terms on behalf of the hotel group, management company, or organization you represent.
If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree with these Terms, you must not access or use the Services.
Accounts and Client Responsibilities
Each deployment of Coders PMS is provisioned as a dedicated tenant with role-based access controls. You are responsible for maintaining the confidentiality of administrator credentials and for all activity occurring within your tenant environment.
- Provide accurate property, contact, and billing information throughout onboarding.
- Ensure that only authorized personnel are granted access and that their permissions align with their roles.
- Comply with applicable hospitality, privacy, and payment regulations in every jurisdiction in which you operate.
Data Ownership and Usage
You retain ownership of reservation data, guest communication, rate plans, and financial information stored within your dedicated database. Coders.al only processes this data to deliver the Services, provide support, and to meet security, compliance, or legal obligations.
Aggregated and de-identified metrics may be used to improve platform performance provided the data cannot be linked back to you or your guests.
Service Availability and Support
Coders PMS is operated as a managed SaaS environment monitored 24/7. Maintenance windows are communicated in advance whenever practicable, and urgent patches are scheduled to minimize guest-facing disruption.
We target 99.5% monthly uptime per production tenant, proactive database backups every four hours, and a four-business-hour first response for support tickets submitted to contact@coders.al.
Fees, Payment, and Taxes
Subscription fees, onboarding packages, and any implementation services are invoiced according to the commercial order form executed between you and Coders.al.
- Invoices are payable within thirty (30) calendar days unless otherwise stated.
- Late payments may result in interest charges or suspension of access.
- Fees are exclusive of taxes, duties, or government levies, all of which are your responsibility except for taxes on Coders.al’s net income.
Suspension or Termination
Either party may terminate the Services for material breach if the breach is not cured within thirty (30) days after written notice. Coders.al may suspend access immediately if usage threatens platform security, violates law, or causes undue risk to other tenants.
Upon termination you may export your data for thirty (30) days. After that period the data will be securely deleted from active systems and backups in line with our retention schedule.
Liability
Neither party will be liable for indirect, incidental, or consequential damages, including lost profits or revenue, arising out of these Terms. Except for unpaid fees or breaches involving misuse of the Services or intellectual property, each party’s aggregate liability is limited to the fees paid or payable during the twelve (12) months preceding the claim.
Governing Law and Contact
These Terms are governed by the laws of the Republic of Albania without regard to conflict of law provisions. Disputes will be resolved by the competent courts of Tirana, Albania, unless the parties agree to arbitration or another venue in writing.
